Based in Simpson Thacher’s London office, Surya Bala regularly advises private equity sponsors, issuers and underwriters on their high yield and investment grade bond offerings, leveraged buyout transactions, restructurings, liability management transactions, initial public offerings and other corporate finance transactions, as well as general corporate and securities law matters. His financing experience includes a wide range of representations for sponsors such as TDR Capital, KKR, Blackstone, Apax Partners, BlackRock, I Squared Capital and their portfolio companies.

Based in the Firm’s London office, Surya Bala is Counsel in Simpson Thacher’s Corporate Department, where he concentrates on capital markets transactions involving U.S. and foreign companies. He advises private equity sponsors, issuers and underwriters on a wide range of financing transactions, including high yield and investment grade bond offerings, leveraged buyout transactions, restructurings, liability management transactions and initial public offerings, as well as general corporate and securities law matters. 

Surya’s recent transactions include representing:

  • TDR Capital and its portfolio companies, including Arrow, a leading European integrated fund manager, in multiple high yield bond financings and liability management transactions
  • MasOrange, a joint venture between Orange Spain and MasMovil (a telecommunications operator owned by a consortium of Cinven, KKR and Providence), in multiple high yield bond financings, including in connection with the €2 billion acquisition of Euskaltel
  • Stonegate Pub Company, a portfolio company of TDR and the largest pub company in the United Kingdom, in multiple high yield bond financings, including in connection with the £3 billion acquisition of Ei Group plc
  • KKR and its portfolio companies, including Flora Food Group, in multiple high yield bond financings
  • Blackstone Property Partners Europe, the “Core+” platform of Blackstone Real Estate (Europe), in multiple investment grade bond financing and liability management transactions
  • Logicor, a CIC and Blackstone joint venture and a leading pan-European logistics company, in multiple investment grade bond financing and liability management transactions
  • Blackstone and its portfolio companies, including Cerdia and Schenck, in acquisition financings and other high yield bond financings
  • BlackRock in its acquisition financing of its interest in Aramco’s gas pipeline and subsequent financings, including the issuance of Sukuk trust certificates
  • Apax Partners and Warburg in connection with high yield bond financing for the acquisition of T-Mobile Netherlands
  • Underwriters in SEC-registered offerings of debt securities issued by KfW, a development bank owned by the Federal Republic of Germany and the German federal states, collectively raising billions of dollars
  • Energia, an I Squared portfolio company, in its high yield bond offering

Surya received his LL.B. with honors in 2008 from The W.B. National University of Juridical Sciences in India, where he was a Microsoft Intellectual Property Scholar, and an LL.M. in 2016 from Columbia Law School, where he was a Harlan Fiske Stone Scholar.
