Simpson Thacher is representing Silver Lake in connection with the announced acquisition of Zuora, Inc., in partnership with an affiliate of GIC Pte. Ltd. (“GIC”). Under the terms of the agreement, Silver Lake and GIC will acquire all of the outstanding shares of Zuora’s common stock for $10.00 per share in cash. The transaction is valued at $1.7 billion and is expected to close in the first calendar quarter of 2025, subject to customary closing conditions and approvals. Upon completion of the transaction, Zuora will become a privately held company.
