Vandana Harris

Vandana Harris is a Partner in the Firm’s Private Funds Practice. Vandana advises clients on the structuring, formation and operation of private investment funds across a variety of investment strategies, including managed accounts and co-investment arrangements. She also advises clients on issues arising from domestic and international alternative investment transactions. Vandana has counseled institutional investors, as well as private equity sponsors, hedge funds, venture capital and impact funds on a broad range complex, cross-border transactions.

Vandana’s recent work highlights include:

• EQT Infrastructure V fund and its portfolio company, Reworld™, in an agreement to sell a 25% minority stake in Reworld™ to GIC via a combination of primary and secondary capital
• Funds managed by EQT in their syndication to institutional co-investors of equity interests in: Avetta, LLC, which was acquired by the EQT X fund from Welsh, Carson, Anderson & Stowe; and Zeus Company, Inc., which was acquired by the EQT X fund from the Tourville family
• EQT Infrastructure III in the sale of its portfolio company Lumos to a joint venture between T-Mobile and the EQT Infrastructure VI fund
• EQT X fund in its agreement to acquire Zeus Company, Inc. from the Tourville family
• EQT Infrastructure VI in its acquisition of a majority position in Heritage Environmental Services from The Heritage Group
• EQT in their syndication to institutional co-investors of over £1 billion of equity interests in Dechra Pharmaceuticals PLC, currently subject to a recommended cash acquisition by: (i) funds managed by EQT, and (ii) a wholly owned subsidiary of the Abu Dhabi Investment Authority
• Funds managed by EQT in the announced acquisition of Blume Global by WiseTech Global for $414 million
• EQT Active Core Infrastructure in Radius Global Infrastructure’s acquisition by EQT Active Core Infrastructure and Public Sector Pension Investment Board for a total enterprise value of approximately $3.0 billion
• EQT Infrastructure VI fund in its acquisition of Madison Energy Investments from affiliates of Stonepeak Partners LP, representing the first transaction signed by EQT Infrastructure VI which has a target fund size of €20 million
• EQT Infrastructure in its acquisition of First Student and First Transit for $4.6 billion
• First Transit, a portfolio company of EQT Infrastructure and a provider of passenger transportation and vehicle maintenance services, and EQT in First Transit’s acquisition by Transdev North America

Vandana provides a unique international perspective for her clients, having lived and worked in Kenya, the U.K. and the U.S. She received her LL.M. in Taxation from the New York University School of Law in 2006. Vandana received her LPC, with commendation, from the College of Law – London in 1995 and her LL.B., with upper class honors, from University of Bristol in 1993. She is admitted to practice in New York and England and Wales and has previously been admitted in the District of Columbia and Washington State (non-practicing).
