Simpson Thacher represented the initial purchasers, led by J.P. Morgan Securities LLC, in connection with an offering by PROG Holdings, Inc. (“PROG”) of $600 million aggregate principal amount of 6% Senior Notes due 2029.
Simpson Thacher also represented J.P. Morgan Securities LLC as dealer manager in a concurrent tender offer for up to $425 million in value of PROG’s outstanding Common Stock. Under the tender offer, which expired on December 3, 2021, PROG accepted for purchase, at a purchase price of $49 per share, a total of 8,673,469 shares properly tendered and not properly withdrawn before the expiration date for an aggregate purchase price of $425 million.
PROG used a portion of the net proceeds from the offering of the Senior Notes to fund the tender offer and intends to use the remainder for future additional share repurchases or general corporate purposes.
