Simpson Thacher Represents Financing Sources for Kosmos’ Acquisition of Anadarko WCTP Company

Simpson Thacher represented the (i) underwriters in connection with the issuance of 43,125,000 common shares (including the exercise of the option to purchase additional shares in full) and (ii) initial purchasers in connection with the issuance of $400 million aggregate principal amount of 7.75% Senior Notes due 2027 issued under Rule 144A and Regulation S, in each case, by Kosmos Energy Ltd. (NYSE: KOS) (“Kosmos”) in connection with Kosmos’ $550 million acquisition (the “Acquisition”) of energy assets located offshore Ghana from Occidental Petroleum. The Firm also represented the financing sources in connection with a bridge facility and the issuance by Kosmos of 4(a)(2) notes in connection with funding the Acquisition. The Acquisition and funding under the bridge facility closed on October 13, 2021, the equity offering closed on October 19, 2021 and the high yield offering closed on October 26, 2021. Since 2012, the Firm has represented financing sources in over $2.5 billion of equity and debt financing by Kosmos.

Kosmos is a full-cycle deepwater independent oil and gas exploration and production company focused along the Atlantic Margins. Its key assets include production offshore Ghana, Equatorial Guinea and the U.S. Gulf of Mexico, as well as gas development offshore Mauritania and Senegal. Kosmos also maintains a sustainable proven basin exploration program in Equatorial Guinea, Ghana and the U.S. Gulf of Mexico.
