Simpson Thacher represented the dealer managers, led by TD Securities (USA) LLC and J.P. Morgan Securities LLC, in connection with EQT Corporation’s (“EQT”) offers to exchange any and all notes of certain specified series of EQM Midstream Partners, LP, its wholly owned subsidiary (“EQM”), for newly issued notes of EQT and related consent solicitations, and concurrent tender offers to purchase for cash certain specified series of EQT and EQM notes. The exchange offers were conducted pursuant to exemptions from the registration requirements under the Securities Act of 1933, as amended. EQT issued approximately $3.9 billion aggregate principal amount of new EQT notes pursuant to the exchange offers and purchased approximately $740 million aggregate principal amount of EQT and EQM notes pursuant to the tender offers.
