Simpson Thacher Represents Initial Purchasers in Petroperú’s US$1 Billion Debt Offering

The Firm represented HSBC Securities (USA) Inc., J.P. Morgan Securities LLC and Santander Investment Securities Inc., as initial purchasers, in connection with the offering by Petróleos del Perú – Petroperú S.A. (“Petroperú”) of US$1 billion in aggregate principal amount of its 5.625% Notes due 2047. The offering was a reopening of a series of Notes that had previously been issued by Petroperú.

The Notes were offered and sold in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended, and will be listed on the Singapore Exchange Securities Trading Limited.

Petroperú is a company owned by the Peruvian state under private law, dedicated to the transportation, refining, distribution and sale of fuel and other products derived from oil.
