The Firm represented underwriters, led by BMO Capital Markets Corp. and Goldman, Sachs & Co., in connection with a registered offering by Resolute Energy Corporation of 4,370,000 shares of common stock (including 570,000 shares pursuant to an option exercised by the underwriters). The offering closed on December 23, 2016.
Resolute is an independent oil and gas company with assets located primarily in the Delaware Basin in West Texas and the Paradox Basin in southeast Utah. Resolute intends to use the net proceeds from the offering to repay in full its secured term loan facility and to repay a portion of the borrowings outstanding under its revolving credit facility.
