Simpson Thacher Represents Underwriters in Connection with Oracle's $14 Billion Investment Grade Note Offering

Simpson Thacher recently represented the underwriters, led by Citigroup Global Markets Inc., HSBC Securities (USA) Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC, in connection with the registered public offering by Oracle Corporation of $4.25 billion aggregate principal amount of 1.9% senior notes due 2021, $2.5 billion aggregate principal amount of 2.4% senior notes due 2023, $3 billion aggregate principal amount of 2.65% senior notes due 2026, $1.25 billion aggregate principal amount of 3.85% senior notes due 2036 and $3 billion aggregate principal amount of 4% senior notes due 2046.

The net proceeds of the offerings are intended to be used for general corporate purposes, which may include stock repurchases, payment of cash dividends on common stock, repayment of indebtedness and future acquisitions.
