The Firm recently represented the underwriters in connection with Human Genome Sciences, Inc.’s offering of $494.5 million aggregate principal amount of 3.00% Convertible Senior Notes due 2018, which reflects the full exercise of the underwriters’ option to purchase additional notes.
Simpson Thacher also represented the dealers in connection with capped call option transactions under which Human Genome Sciences, Inc. purchased call options with respect to the number of shares of the company’s common stock initially issuable upon conversion of the notes.
Human Genome Sciences, Inc. exists to place new therapies into the hands of those battling serious disease.
