Simpson Thacher is representing affiliates of Hellman & Friedman in its announced acquisition of Goodman Global, Inc., a maker of heating, ventilation and air-conditioning equipment, for approximately $2.65 billion. Goodman shareholders will receive $25.60 in cash for each share of common stock they own. The transaction is subject to customary closing conditions. Simpson Thacher is also representing Hellman & Friedman in connection with debt tender offers for outstanding Goodman notes, and new financing arrangements. The transaction is expected to close in the first quarter of 2008.
