Will represents issuers, private equity sponsors and underwriters in a wide range of securities offerings, including initial public offerings, follow-on and secondary equity offerings, spin-offs, high yield and investment grade debt offerings and acquisition financing transactions, as well as exchange offers and other liability management transactions. He co-authored the third edition of the Donnelley Financial Solutions guide, Initial Public Offerings: Considerations for Business Owners and Executives Taking Their Company Public, and co-authored a Practice Note on UP-C IPO structures in Practical Law Corporate & Securities.
Will received his J.D. from the University of Virginia School of Law in 2008 and his B.A., with distinction, Phi Beta Kappa, in 2004 from the University of Virginia. He is admitted to practice in New York.
