Jacqueline S. Edwards is a Partner in the Firm’s Registered Funds Practice, where she counsels investment companies and their directors on a wide array of investment management and securities law matters, including governance structures and practices, regulatory compliance issues, material service contracts, mergers, acquisitions and other control transactions and disclosure. She has a broad background representing open and closed-end funds, as well as interval funds, exchange-traded funds, variable annuity funds and business development companies. Her experience also includes advising clients regarding the regulation and registration of investment advisers, broker-dealers and other financial institutions.

Jacqueline S. Edwards is a Partner in Simpson Thacher’s Registered Funds Practice. Based in the Firm’s New York office, Jacqueline is well-versed in both the Investment Company Act and Investment Advisers Act. She counsels investment companies and their directors on a wide array of investment management and securities law matters, including governance structures and practices, regulatory compliance issues, SEC exemptive relief applications, material service contracts, mergers, acquisitions and other control transactions and disclosure. She has a broad background representing open and closed-end funds, as well as interval funds, exchange-traded funds, variable annuity funds and business development companies across a variety of asset classes and strategies. 

Jacqueline has over two decades of experience serving as counsel to the top mutual fund complexes. She served on the Investment Management Regulation Committee of the New York City Bar Association (2018-2023) and is a current member of the Women in Investment Management Forum. Among other things, she has been published in the Investment Lawyer, recognized by The Legal 500 and presented at Investment Adviser Association trainings. In addition, she was jointly named among the finalists for the “Independent Counsel of the Year” Award as part of the With Intelligence Mutual Fund & ETF Awards 2024. She was shortlisted in recognition of her work as counsel to Independent Trustees of numerous funds on highly complex, substantively novel matters.

Jacqueline received her J.D. from American University-Washington College of Law, where she was articles editor of the International Law Review and copy editor of American Jurist.
