Kristin Rulison is Counsel in Simpson Thacher’s Mergers and Acquisitions Practice. Based in the Firm’s Los Angeles office, Kristin advises private equity firms, as well as public and private companies, in a variety of domestic and cross-border transactions, including mergers, acquisitions, divestitures, carve-outs, joint ventures and other strategic investments.

Kristin has represented a wide range of clients, including private equity funds and other institutional money managers such as Angeles Equity Partners and Genstar Capital, among others. Her experience spans a wide variety of sectors, including business and professional services, industrials and manufacturing, healthcare, retail and technology.

Kristin’s representative experience includes advising:

  • NeueHealth, Inc. in its entry into a definitive agreement to be taken private by National Enterprise Associates and a consortium of investors at an enterprise value of approximately $1.3 billion;
  • Apollo Global Management in its strategic minority investment in PetSmart;
  • Acoustic in its strategic growth investment from Francisco Partners;
  • Angeles Equity Partners in its acquisition of Custom Goods;
  • Aptive Environmental in its sale of a majority stake to Citation Capital;
  • Genstar Capital in its initial investment in, and the subsequent recapitalization of, Jet Support Services, and in the sale of a partial stake in Prometheus Group to Advent International and Leonard Green & Partners;

  • Sonic Financial Corporation in its take-private acquisition of Speedway Motorsports, Inc. at an enterprise value of more than $1 billion;
  • Tailwind Capital in its acquisition of ArrowStream, Inc. from Diversis Capital
  • Cambridge Franchise Holdings in its sale of more than 200 Burger King and Popeyes restaurants to Carrols Restaurant Group, Inc.;
  • CCC Information Services, Inc. in its business combination with Dragoneer Growth Opportunities Corp. at an enterprise value of approximately $7 billion and in the related $150 million PIPE investment;
  • Creative Planning in its strategic minority investment from General Atlantic;
  • Bristol-Myers Squibb Company in the carve-out sale of its consumer health business (UPSA) to Taisho Pharmaceutical Holdings Co., Ltd. for approximately $1.6 billion;
  • Ingersoll-Rand plc in its acquisition of Precision Flow Systems from BC Partners and The Carlyle Group for approximately $1.45 billion;
  • Tronox Holdings plc in its carve-out acquisition of the titanium dioxide (TiO2) business of Cristal (The National Titanium Dioxide Company Limited) for approximately $1.67 billion;
  • Daniele International, Inc. in its acquisition by Entrepreneurial Equity Partners, LLC;
  • The Weir Group PLC in its acquisition of ESCO Corporation at an enterprise value of approximately $1.3 billion;
  • Popular, Inc. in its carve-out acquisition of Wells Fargo & Company’s auto finance business in Puerto Rico for approximately $1.6 billion;
  • KCG Holdings, Inc. in its acquisition by Virtu Financial Inc. for approximately $1.4 billion; and
  • MLB Advanced Media, L.P. and other Major League Baseball entities in the sale of a controlling interest in BAMTech, LLC to The Walt Disney Company for approximately $1.58 billion

Kristin received her J.D., magna cum laude, from Georgetown University Law Center, where she was an Executive Board Member of The Georgetown Law Journal and elected to Order of the Coif. She received both her M.B.A. and M.A. in Political Science from the University of Rochester, and her B.A. in Political Science from the University of Georgia, where she was the recipient of the Presidential Scholar Award.
