Jonathan S. Kaplan

Jon Kaplan is Counsel in the Firm’s Litigation Department. He has significant experience representing and advising multinational corporations, boards of directors, board committees and executives in connection with securities matters, shareholder and derivative actions, government and internal investigations, and civil and criminal regulatory enforcement actions.

Jon’s representative engagements include:

• Valeant Pharmaceuticals in dozens of securities and derivative litigations;
• Twitter’s Board of Directors in litigation regarding the acquisition of Twitter by Elon Musk;
• Alibaba in the dismissal of a putative class action, including successfully arguing a subsequent appeal before the Second Circuit;
• Micron Technology and its directors in dismissal of DEI derivative lawsuit;
• TaskUs and Blackstone Capital Partners in securities class action litigation;
• Ubiquiti in a securities fraud class action;
• Sirius XM in litigation challenging the company’s $16 billion stock repurchase program;
• Gramercy Property Trust in the dismissal of securities litigation related to its $7.6 billion acquisition by an affiliate of Blackstone;
• Centerview Partners in litigation regarding CD&R’s acquisition of Cornerstone Building Brands;
• Sirius XM in litigation arising out of its $3.5 billion acquisition of Pandora;
• Travelers in a major environmental case against Northrop Grumman involving pollution in Long Island;
• Hovnanian in defeating efforts to enjoin a refinancing transaction between Hovnanian and GSO Capital Partners; and
• Directors of Sirius XM in litigation regarding the split-off of Sirius XM into a new public company.

In addition to his client work, Jon has an extensive and wide-ranging pro bono practice including work on behalf of veterans, students with disabilities, victims of domestic abuse and indigent criminal defendants. Notably, in 2022, he was profiled by Sanctuary for Families for his work representing a victim of domestic abuse in her efforts to obtain an order of protection against her abuser as well as full custody of her children.

Jon received his J.D. from University of Pennsylvania Law School in 2016, where he was awarded the James J. Manderino Trial Advocacy Prize, as well as the Philadelphia Bar Association’s Public Service Award and served as Managing Editor of the Journal of Law and Public Affairs. He earned his B.Sc. from Cornell University in 2011.
