Jeremy Entwistle is Counsel in the Firm’s Registered Funds Practice. Based in the Firm’s Washington, D.C. office, Jeremy counsels asset management firms on transactional and regulatory matters arising under the Investment Company Act of 1940 and other federal securities laws. Jeremy routinely advises on the formation, structuring, and regulation of business development companies and registered closed-end funds. In addition, Jeremy has significant experience in the distribution of non-traded investment products, including the negotiation of distribution agreements and related contractual arrangements. Jeremy assists sponsors with the formation, regulation and structuring of investment products, including real estate investment trusts, retail private equity funds and operating company vehicles.
Additionally, Jeremy has significant experience in the distribution of non-traded investment products through brokerage and private wealth managers and registered investment advisors, including in the negotiation of distribution agreements and relations between sponsors and distribution channels.
Jeremy received his J.D. from Boston University School of Law in 2014 and received his B.A., cum laude, from College of the Holy Cross in 2011. Jeremy is admitted to practice in Massachusetts and Washington, D.C. Prior to joining Simpson Thacher, Jeremy was an associate in the registered funds groups of other international law firms and began his career as an attorney at the Massachusetts Securities Division.
