Simpson Thacher Attorneys Author Article on the DOJ’s Record $5.7 Million Gun-Jumping Settlement

Partners Peter Guryan, Karen Kazmerzak and Preston Miller, and Associates Maxime Fischer-Zernin and Nicholas Prendergast, authored an article titled, “Simpson Thacher Discusses DOJ’s Record $5.7 Million Gun-Jumping Settlement,” which was published by Columbia Law School’s Blue Sky Blog. The article detailed the DOJ’s recent, records-setting civil penalty against Defendants for engaging in unlawful “gun-jumping” in violation of the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The article additionally provided key takeaways from the settlement, noting that parties should pay close attention to agreed-upon interim operating covenants, which themselves should be narrowly tailored to include only obligations necessary to preserve the value of the target business and should not interfere with the target’s ordinary course operations or general exercise of its business judgment.
