Global private markets investment management firm Hamilton Lane (Nasdaq: HLNE) recently launched a US registered evergreen fund focused on secondaries. Simpson Thacher represents Hamilton Lane Private Secondary Fund (the “Fund”), a continuously offered evergreen investment vehicle registered as a closed-end investment company under the 1940 Act, in connection with its formation, seeding structure and continuous public offering. Hamilton Lane Advisors, L.L.C. is the Fund’s investment adviser.
The Fund seeks to provide long-term capital appreciation through a tactically constructed portfolio of mature private equity investments, primarily through privately negotiated transactions on the secondary market. The Fund’s strategy focuses on middle market buyout funds and assets, with near-term distribution potential. It seeks to provide risk-adjusted returns through a portfolio of what Hamilton Lane believes to be high-quality companies and assets diversified across sponsors, strategies, industries, vintages and geographies. The Fund commenced investment operations as a private fund last year in order to seed a portfolio of investments prior to and during its SEC registration process in advance of its initial public offering.
The Simpson Thacher team included Ryan Brizek, Stephanie Chaung, JJ Dikmak, Earl Quermorllue and Christina Park (Registered Funds); Meredith Abrams (Broker-Dealer); Russell Light, Caroline Phillips and Sean Largey (Tax); and Erica Rozow and Jeanne Annarumma (ERISA).
