A Partner in the Firm’s Tax Practice, Caroline Phillips advises clients on tax matters in a variety of transactions, including mergers, acquisitions, dispositions, joint ventures,  fund formations, REITs and real estate transactions. She frequently advises private equity sponsors, as well as their portfolio companies, on the tax aspects  associated with numerous investments, acquisitions and divestitures. Her clients have included, among others, Blackstone, Centerbridge, Sixth Street Partners and Blackrock.

Caroline Phillips is a Partner in Simpson Thacher’s Tax Practice based in New York. She advises clients on tax matters in a variety of transactions, including mergers, acquisitions, dispositions, joint ventures, fund formations, REITs and real estate transactions. She frequently advises private equity sponsors, as well as their portfolio companies, on the tax aspects associated with their fundraises, investments, financings, acquisitions and divestitures.

Caroline’s representative transactions have included:

  • Blackstone in multiple transactions, including its $7.6 billion acquisition of PS Business Parks, acquisition of Spanx and investment in Simpli.fi
  • J-STAR in multiple transactions, including the successful closing of J-STAR’s Continuation Series Funds at ¥17.9 billion and formation of the J-STAR No.5 Series Funds, a ¥75 billion Japan-focused buyout fund series
  • Revelstoke in multiple transactions, including the formation and closing of Revelstoke Capital Partners Fund III and various affiliated investment vehicles totaling $1.7 billion and in the establishment of Revelstoke EPIC Fund III
  • Avantor in multiple transactions, including its $1 billion common stock offering and acquisition of Masterflex
