Metaphysic Acquired by DNEG’s Brahma AI

02.19.25

Simpson Thacher represented Metaphysic Inc., a leading developer of AI content creation technologies, in its cross-border combination with the recently formed “Brahma AI” subsidiary of the DNEG Group, one of the world's leading visual effects and animation studios for feature film and television. The sale was accomplished by way of a merger between Metaphysic and a subsidiary of Brahma AI Limited. Combining Brahma’s existing IP and technology assets with Metaphysic’s capabilities, Brahma looks to develop foundational AI, data, and content workflow and management technologies as part of a comprehensive suite of AI-native products designed to create user-customized content across video, image, and audio. The transaction valued the combined Brahma-Metaphysic business at $1.43 billion.

The Simpson Thacher team included David Hernand, Clare Gaskell, Sam Buchman, Muaaz Maksud, Logan Duffy, Sam Moon and Alexandria Vasques (M&A); Jonathan Goldstein, Caleb McConnell, Phoebe Adams and Jiha Min (Tax); Ron Ben-Yehuda (IP); Jeannine McSweeney, Harry Hudesman and Warsame Elmi (Executive Compensation and Employee Benefits); and Karen Kazmerzak and Daniel Owsley (Antitrust).
