Morgan Securities LLC, Mizuho Securities USA LLC and Wells Fargo Securities, LLC, in connection with the offering by Agilent Technologies, Inc. (the “Company”) of $600 million aggregate principal amount of 4.200% Senior Notes due 2027 and $600 million aggregate principal amount of 4.750% Senior Notes due 2034. The Company intends to use the net proceeds of the offering to partially finance the Company’s acquisition of BIOVECTRA, a Canadian based contract development and manufacturing organization and to prepay a portion of outstanding borrowings under the Company’s term loan facility. Pending these uses, the Company intends to use the net proceeds for general corporate purposes.
