Simpson Thacher Represents Initial Purchasers in TechTarget’s $414 Million Convertible Senior Notes Offering

The Firm recently represented the initial purchasers, led by J.P. Morgan Securities LLC and Goldman Sachs & Co. LLC, among others, in the offering of $414 million aggregate principal amount of 0% Convertible Senior Notes due 2026 by TechTarget, Inc. (“TechTarget”), which includes the full exercise of the initial purchasers’ option to purchase additional Notes. TechTarget used a portion of the net proceeds from the offering to fund the cash consideration payable in respect of the repurchases or exchanges of its existing 0.125% Convertible Senior Notes due 2025. TechTarget intends to use the remaining proceeds from the offering for general corporate purposes.
