Simpson Thacher Represents Initial Purchasers in Roblox’s Inaugural $1 Billion Senior Notes Offering

Simpson Thacher represented Morgan Stanley & Co. LLC, Goldman Sachs & Co. LLC and J.P. Morgan as representatives of the initial purchasers in connection with Roblox Corporation’s (“Roblox”) offering of $1 billion aggregate principal amount of 3.875% Senior Notes due 2030. The notes were offered to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended. The net proceeds of the offering will be used for general corporate purposes.

Roblox is a global online game platform and creation system that allows users take part in user-generated virtual experiences with friends and provides the opportunity for those users to create games and experiences for others. Roblox’s primary areas of investment are their developer and creator community, and the people, technology, and infrastructure required to keep improving the Roblox platform.
