Refinitiv to be Acquired by London Stock Exchange

Simpson Thacher is representing Refinitiv in its definitive agreement to be acquired by London Stock Exchange Group in an all share transaction for a total enterprise value of approximately US$27 billion. The transaction will create a leading, UK-headquartered, global financial market infrastructure provider. Refinitiv’s shareholders, including investment funds affiliated with Blackstone, Thomson Reuters, Canada Pension Plan Investment Board and GIC, will own an approximately 37% economic interest and less than 30% voting interest in the combined company. The transaction is subject to customary closing conditions and is expected to close in the second half of 2020. Simpson Thacher recently represented the Blackstone-led consortium in its acquisition of a majority stake in Refinitiv, formerly the Financial & Risk business of Thomson Reuters, in a transaction completed on October 1, 2018.
