Simpson Thacher Advises on Apache’s $1 Billion Notes Offering and Related Tender Offer

Simpson Thacher represented the underwriters, led by Citigroup Global Markets Inc., HSBC Securities (USA) Inc., TD Securities (USA) LLC and Wells Fargo Securities, LLC, in connection with the registered public offering by Apache Corporation of $600 million aggregate principal amount of its 4.25% Senior Notes due 2030 and $400 million aggregate principal amount of its 5.35% Senior Notes due 2049. Apache (NYSE: APA) used the proceeds from the offering to fund its waterfall cash tender offer to purchase a portion of several series of its outstanding senior notes and for general corporate purposes. The Firm also represented Citigroup Global Markets Inc., Wells Fargo Securities, LLC, HSBC Securities (USA) Inc. and TD Securities (USA) LLC as dealer managers in connection with the tender offer.
