Simpson Thacher Represents Dealer Managers in Exchange Offer by Newmont Goldcorp and Goldcorp

The Firm recently represented Citigroup Global Markets Inc. and J.P. Morgan Securities LLC as dealer managers in connection with an exchange of $472.5 million aggregate principal amount of 3.625% Senior Notes due 2021, $810.3 million aggregate principal amount of 3.7% Senior Notes due 2023 and $443.6 million aggregate principal amount of 5.45% Senior Notes due 2044 issued by Newmont Goldcorp Corporation (formerly known as Newmont Mining Corporation) (“Newmont Goldcorp”) for an equal principal amount of 3.625% Senior Notes due 2021, 3.7% Senior Notes due 2023 and 5.45% Senior Notes due 2044 issued by Goldcorp Inc. (“Goldcorp”). The exchange offer settled on April 22, 2019.
