The Firm is representing The Boeing Company (NYSE: BA) (“Boeing”) in connection with its agreement with Embraer S.A. (NYSE: ERJ) (“Embraer”) to acquire an 80% interest in Embraer’s commercial aviation business at an aggregate value of approximately $4.2 billion, subject to certain adjustments set forth in the master transaction agreement. Completion of the transaction is subject to customary closing conditions, including the requisite vote of the holders of the Embraer shares, including of the “golden share” of the Brazilian Federal Government.
Embraer is a Brazilian aerospace conglomerate that produces commercial, military, executive and agricultural aircraft and provides aeronautical services, and is the third largest producer in the world of civil aircraft. Its commercial aviation business is responsible for designing, developing, manufacturing, assembling, testing, certifying, marketing, selling, delivering, maintaining, sustaining and supporting, and providing aftermarket services for, commercial aircraft platforms and programs with structural capacity of 50 or more seats in an all-standard economy class configuration.
