Luiz F. Noronha is Counsel in the Firm’s Corporate Department based in our São Paulo office where he advises on cross-border transactions, primarily involving Brazil and Latin America, on matters across sectors including technology, e-commerce, telecoms, industrials, healthcare, infrastructure and banking. His practice includes advising clients in mergers and acquisitions, private equity and venture capital investments, as well as equity and debt capital markets offerings. Luiz regularly represents leading companies, private equity sponsors, venture capital firms, and major investment banking firms throughout Latin America.
Luiz’s corporate transactions involve the representation of clients on a wide range of transactions, including minority and strategic investments at all stages of the company growth cycle, as well as minority stakes sales, IPOs and other exits for financial sponsors. In M&A, Luiz has represented such companies as Braskem, The Boeing Company, DASA and Dock, and investors such as The Blackstone Group L.P., Advent International, H.I.G. Capital, Softbank, Pátria Investimentos and Riverwood, among others, on strategic acquisitions and exits and growth investments. In capital markets, he represents both issuers and underwriters in public and private offerings of equity and debt securities across sectors and industries. Luiz has significant experience advising on capital markets offerings involving Brazilian entities on IPOs and follow-on offerings on the B3, including for DASA, Oncoclínicas, MRV Engenharia, BTG Pactual, Casas Bahia, SmartFit, Hidrovias do Brasil and Cury Engenharia, among many others. Latin Lawyer 250 reports that Luiz “has been hailed by clients for his creative thinking and agility.”

Luiz graduated from University of São Paulo and as a Harlan Fiske Stone Scholar from Columbia Law School. He joined Simpson Thacher in 2017. Luiz is admitted to practice law in New York and authorized as a foreign legal consultant by the São Paulo Bar Association (Ordem dos Advogados do Brasil – São Paulo). He is fluent in Portuguese, English, and Spanish.
