Simpson Thacher recently represented National Vision Holdings, Inc. and entities affiliated with KKR & Co. Inc. in connection with a secondary offering of common stock of National Vision by KKR and other selling stockholders. The offering of 14,447,698 shares of National Vision’s common stock, which included the underwriters’ option to purchase 2,167,154 additional shares, raised approximately $660 million in gross proceeds, with the selling stockholders receiving all of the proceeds from the offering.
National Vision is one of the largest optical retail companies in the United States with more than 1,000 retail stores in 44 states plus the District of Columbia and Puerto Rico. With a mission of helping people by making quality eye care and eyewear more affordable and accessible, National Vision operates five retail brands: America’s Best Contacts & Eyeglasses, Eyeglass World, Vision Centers inside select Walmart stores, Vista Opticals inside Fred Meyer stores and on select military bases, and several e-commerce websites, offering a variety of products and services for customers’ eye care needs.
