Simpson Thacher recently represented Morgan Stanley & Co. International, Daiwa Capital Markets Europe, J.P. Morgan Securities, Merrill Lynch International, SMBC Capital Markets and Mizuho International, the international joint lead managers of a ¥130.6 billion (approximately US$1.19 billion) IPO of 43,554,800 shares of Mercari, Inc. (“Mercari”). The global offering included an international offering to institutional investors outside Japan in reliance on Rule 144A and Regulation S. The offering was the largest equity offering in Japan to date this year.
Mercari is an e-commerce company that operates a consumer-to-consumer marketplace app that has been downloaded over 100 million times and lists over 100,000 new items daily.
