Gardner Denver and Selling Stockholders Complete $911 Million Secondary Offering

Simpson Thacher recently represented Gardner Denver Holdings, Inc. (“Gardner Denver”) and KKR Renaissance Aggregator L.P. (the “KKR Selling Stockholder”), in connection with a secondary offering of common stock by the KKR Selling Stockholder and certain other selling stockholders (collectively, the “Selling Stockholders”). The offering of 30,533,478 shares of common stock, which included the underwriters’ option to purchase 3,982,627 additional shares, raised approximately $911 million in gross proceeds. The Selling Stockholders received all proceeds from the offering.

Goldman Sachs & Co. LLC, Citigroup, KKR Capital Markets, Simmons & Company International (Energy Specialists of Piper Jaffray), UBS Investment Bank, Baird, Credit Suisse, Deutsche Bank Securities, Houlihan Lokey, J.P. Morgan, William Blair and Stifel acted as bookrunners of the offering, and Credit Agricole CIB, HSBC, Macquarie Capital and Mizuho Securities acted as co-managers of the offering.
