Simpson Thacher recently represented Gardner Denver Holdings, Inc. (“Gardner Denver”) and KKR Renaissance Aggregator L.P. (the “KKR Selling Stockholder”), in connection with a secondary offering of common stock by the KKR Selling Stockholder and certain other selling stockholders (collectively, the “Selling Stockholders”). The offering of 25,300,000 shares of common stock, which included the underwriters’ option to purchase 3,300,000 additional shares, raised approximately $689.5 million in gross proceeds. The Selling Stockholders received all proceeds from the offering.
Goldman Sachs & Co. LLC, Citigroup, KKR Capital Markets, Simmons & Company International (Energy Specialists of Piper Jaffray), Baird, Credit Suisse, Deutsche Bank Securities, Houlihan Lokey, J.P. Morgan, Stifel, William Blair and Morgan Stanley acted as bookrunners of the offering, and Credit Agricole CIB, HSBC, Macquarie Capital and Mizuho Securities acted as co-managers of the offering.
