Simpson Thacher Represents Underwriters in $10 Billion Investment Grade Notes Offering by Oracle

Simpson Thacher recently represented the underwriters, led by Merrill Lynch, Pierce, Fenner & Smith Incorporated, Wells Fargo Securities, LLC and J.P. Morgan Securities LLC, in connection with the registered public offering by Oracle Corporation of $1.25 billion aggregate principal amount of 2.625% Senior Notes due 2023, $2 billion aggregate principal amount of 2.95% Senior Notes due 2024, $2.75 billion aggregate principal amount of 3.25% Senior Notes due 2027, $1.75 billion aggregate principal amount of 3.8% Senior Notes due 2037 and $2.25 billion aggregate principal amount of 4% Senior Notes due 2047.

The net proceeds of the offerings are intended to be used for general corporate purposes, which may include stock repurchases, payment of cash dividends on common stock, repayment of indebtedness and future acquisitions.
