The Firm is representing The Mosaic Company (NYSE: MOS) in connection with its agreement to acquire the Vale Fertilizantes business from Vale S.A. for an aggregate purchase price of $2.5 billion to be paid in cash and stock. The transaction is expected to close in late 2017, subject to receipt of regulatory approvals and satisfaction of other closing conditions. Vale will be entitled to receive an additional amount of up to $260 million to be paid in cash over the two-year period following closing if certain financial metrics are achieved.
