Team Health to Be Acquired by Blackstone

Simpson Thacher is representing Team Health Holdings, Inc. (NYSE: TMH) in connection with its proposed sale to funds affiliated with Blackstone and certain co-investors in a transaction valued at approximately $6.1 billion. Under the terms of the agreement, Blackstone and its co-investors will acquire all of the outstanding shares of Team Health common stock for $43.50 per share in cash. The transaction, which is subject to the receipt of stockholder approval, regulatory approvals and other customary closing conditions, is expected to close in the first quarter of 2017.

Team Health is a leading physician services organization. With more than 19,000 affiliated physicians and advanced practice clinicians, Team Health offers outsourced emergency medicine, hospital medicine, critical care, anesthesiology, orthopedic hospitalist, acute care surgery, obstetrics and gynecology hospitalist, ambulatory care, post-acute care and medical call center solutions to approximately 3,400 acute and post-acute facilities and physician groups nationwide.
