Simpson Thacher Represents Initial Purchasers and Lead Arrangers in Financing Transactions Related to the Acquisition of Veritas by Carlyle

The Firm represented Morgan Stanley & Co. LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, UBS Securities LLC, Jefferies LLC, Barclays Capital Inc., Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co., Mizuho Securities USA Inc. and SMBC Nikko Securities America, Inc., as the initial purchasers of notes, the proceeds of which were used to finance a portion of the $7.4 billion total consideration for the acquisition of the information management business (“Veritas”) of Symantec Corporation by funds affiliated with The Carlyle Group L.P. and GIC Special Investments Ptd. Ltd. The Firm also represented Bank of America, N.A., as administrative agent, Bank of America, N.A., Morgan Stanley Senior Funding, Inc., UBS Securities LLC and Jefferies Finance LLC, as joint lead arrangers and joint bookrunners, Barclays Bank PLC, Citibank, N.A., Credit Suisse Securities (USA) LLC and Goldman Sachs Bank USA as joint bookrunners, and Mizuho Bank, Ltd. and Sumitomo Mitsui Banking Corporation as co-managers of a new revolving facility and new term loan facilities.
