Pamplona Capital Management to Acquire MedAssets for $2.7 billion

The Firm is representing Pamplona Capital Management in connection with its acquisition of MedAssets (NASDAQ: MDAS) for $31.35 per share, which represents a total enterprise value of approximately $2.7 billion. The transaction, which is expected to close in the first quarter of 2016, is subject to shareholder and regulatory approval and other customary closing conditions.

In connection with the transaction, Pamplona also agreed to divest MedAssets’ Spend and Clinical Resource Management segment to VHA-UHC Alliance NewCo, Inc., the nation’s largest member-owned health care company. Following completion of its acquisition of MedAssets, Pamplona intends to combine MedAssets’ Revenue Cycle Management segment with Precyse Solutions, Inc., a Pamplona-owned company which provides performance management and technology, focused on health information management (HIM) performance solutions.
