Simpson Thacher Represents Mizuho Financial Group in its US$1.5 Billion Subordinated Debt Offering

The Firm recently represented Japan’s Mizuho Financial Group, Inc. in connection with the US$1.5 billion offering of 4.60% Subordinated Notes due 2024 by Mizuho Financial Group (Cayman) 3 Limited, a wholly owned finance subsidiary of Mizuho Financial Group pursuant to Rule 144A and Regulation S under the Securities Act.  The offering was the first Basel III Tier 2 compliant offering by a Japanese issuer. Mizuho Securities USA Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Goldman, Sachs & Co. and J.P. Morgan Securities LLC were the Joint Lead Managers for the offering. Mizuho Financial Group, Inc. is one of Japan's largest banking groups.
