Simpson Thacher represented the underwriters, led by Deutsche Bank AG, London Branch, and Goldman, Sachs & Co., in connection with Dover Corporation’s registered public offering of euro-denominated notes. Dover offered €300 million aggregate principal amount of 2.125% notes due 2020.
The net proceeds of the offering are intended to be used for general corporate purposes, which may include repayment of debt, repayment of commercial paper, additions to working capital, capital expenditures, investments in Dover’s subsidiaries, any future acquisitions and the repurchase, redemption or retirement of securities, including shares of Dover’s common stock.
Dover is a diversified global manufacturer focusing on innovative equipment and components, specialty systems, and support services provided through its four major operating segments: Energy, Engineered Systems, Printing & Identification and Communication Technologies. For the year ended December 31, 2012, Dover had revenues of $8.1 billion and net earnings of $811 million.
