Simpson Thacher represented Goldman, Sachs & Co. as sole underwriter in connection with a registered public offering of 6,095,000 shares of common stock of Tesla Motors, Inc. The company’s Chairman and CEO and an affiliate of Daimler AG also purchased an aggregate of approximately 2.05 million shares of common stock from the company in a concurrent private placement. Gross proceeds to the company from the registered offering and the concurrent private placement were approximately $234 million. Tesla Motors designs, develops, manufactures and sells high-performance fully electric vehicles and advanced electric vehicle powertrain components.
