Simpson Thacher Represents Sealed Air Corporation in its Acquisition of Diversey Holdings for $4.3 Billion

The Firm is representing Sealed Air Corporation (“Sealed Air”) in connection with its acquisition of Diversey Holdings, Inc. (“Diversey”) in a transaction valued at $4.3 billion. The transaction is expected to be completed in 2011. 

Sealed Air is a global innovator and manufacturer of a wide range of packaging and performance-based materials and equipment systems that now serve an array of food, industrial, medical, and consumer applications with widely recognized brands such as Bubble Wrap® brand cushioning, Jiffy® protective mailers, Instapak® foam-in-place systems and Cryovac® packaging technology. Sealed Air operates in 52 countries and generated revenue of approximately $4.5 billion in 2010. Diversey is a global provider of commercial cleaning, sanitation and hygiene solutions.
