Simpson Thacher Represents Varian Semiconductor in Merger with Applied Materials

Simpson Thacher is representing Varian Semiconductor Equipment Associates, Inc. in connection with the proposed acquisition of Varian by Applied Materials, Inc. in a transaction valued at approximately $4.9 billion.   The transaction is subject to customary closing conditions, including the receipt of required regulatory approvals and the approval of Varian’s stockholders.  Varian designs and manufactures semiconductor processing equipment used by chip manufacturers worldwide to produce high-performance semiconductor devices for products like flat-screen TVs and solar panels.
