The Firm recently represented the underwriters, led by J.P. Morgan, BofA Merrill Lynch, Barclays Capital, and Citi, in a registered offering of $400,000,000 7.250% Senior Notes due 2020 by Covanta Holding Corporation. Covanta used the proceeds of the offering to finance a tender offer for its outstanding 1.00% Senior Convertible Debentures due 2027. Simpson Thacher also represented the dealer managers, led by Barclays Capital, for the tender offer.
Covanta is one of the world’s largest owners and operators of infrastructure for the conversion of waste to energy as well as other waste disposal and renewable energy production businesses in the Americas, Europe and Asia.
