Simpson Thacher represented American Safety Razor Company, LLC and its affiliated debtors (the “Company”) in their chapter 11 cases pending in the United States Bankruptcy Court for the District of Delaware and in connection with the sale of substantially all their assets to Energizer Holdings, Inc. The Company was a leading innovator in the production of blade products including private label wet shaving razors and blades and bladed hand tools for various industrial and medical uses.
The court approved the sale on October 8, 2010, and the transaction was consummated on November 23, 2010 after antitrust clearance in the United States, Germany and Taiwan. The purchase price was $301 million plus the assumption of more than $100 million of liabilities.
