The Firm is representing Life Technologies Corporation in its announced acquisition of Ion Torrent Systems Incorporated. Life Technologies has agreed to purchase Ion Torrent for $375 million in cash and stock. In addition, the sellers of Ion Torrent are entitled to additional consideration of up to $350 million in cash and stock upon the achievement of certain time-based and technical milestones through 2012.
Life Technologies is a global biotechnology tools company serving customers working to advance personalized medicine, regenerative science, molecular diagnostics, agricultural and environmental research and 21st century forensics. Ion Torrent has developed a DNA sequencing system that directly translates chemical signals (A, C, G, T) into digital information (0, 1) on a semiconductor chip.
