Simpson Thacher Represents Goldman Sachs and J.P. Morgan as Financial Advisors in Acquisition of Dollar Thrifty by Hertz

The Firm is representing Goldman, Sachs & Co. and J.P. Morgan Securities Inc. as financial advisors to Dollar Thrifty Automotive Group, Inc. in its acquisition by Hertz Global Holdings, Inc. in a stock and cash transaction valued at approximately $1.27 billion.   Under the terms of the agreement, Dollar Thrifty stockholders will receive aggregate consideration valued at $41 per share payable in cash and stock.  The cash portion will be paid in two components: (1) an aggregate $200 million special cash dividend representing approximately $6.88 per share, to be paid by Dollar Thrifty immediately prior to the transaction closing, and (2) $25.92 per share to be paid by Hertz at the closing.  The stock portion will be paid at a fixed exchange ratio of 0.6366 per Dollar Thrifty share. 

Dollar Thrifty maintains a strong presence in domestic leisure travel through its Dollar Rent A Car and Thrifty Car Rental brands, with approximately 300 corporate locations in the United States and Canada.  Hertz is the largest worldwide airport general use car rental brand operating from more than 8,200 locations in 146 countries worldwide.
