Simpson Thacher Represents Initial Purchasers in U.S.$4 Billion Debt Offering by América Móvil, S.A.B. de C.V.

The Firm represented initial purchasers, headed by Citigroup Global Markets Inc., Goldman, Sachs & Co. and J.P. Morgan Securities Inc., in connection with an offering by América Móvil, S.A.B. de C.V. of U.S.$4 billion of debt securities, consisting of U.S.$750 million of 3.625% Senior Notes due 2015, U.S.$2.0 billion of 5.000% Senior Notes due 2020 and U.S.$1.25 billion of 6.125% Senior Notes due 2040. The notes were sold in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933 and have the benefit of registration rights. The notes have been listed for trading on the EuroMTF Market of the Luxembourg Stock Exchange.
According to The Wall Street Journal, the offering was “one of the biggest debt offerings ever sold by a company based in a developing country”.
América Móvil, which is organized in Mexico, is the largest provider of wireless communications services in Latin America, based upon its 201.0 million subscribers in 18 countries at December 31, 2009. Mexico, Brazil and Colombia are América Móvil’s single largest markets.
