Simpson Thacher Represents Investor Group in Acquisition of Airvana Inc.

The Firm is representing an investor group led by S.A.C. Private Capital Group (SAC PCG) in connection with its announced acquisition of Airvana, Inc. (Airvana). Affiliates of GSO Capital Partners LP, Sankaty Advisors LLC and ZelnickMedia have committed to provide debt or additional equity financing in the transaction, valued at approximately $530 million or $7.65 per share, representing a 23% premium. Airvana’s three founders have also committed to roll-over a significant portion of their equity in the transaction.

Airvana’s high-performance technology and products, from comprehensive femtocell solutions to core mobile network infrastructure, enable operators to deliver broadband services to mobile subscribers. Airvana’s products are deployed in over 70 commercial networks on six continents.
