Simpson Thacher Represents Citigroup in Gannett's Exchange Offer

The Firm represented Citigroup Global Markets Inc. as dealer-manager in connection with Gannett Co., Inc.'s unregistered exchange offer for its outstanding 5.75% Notes due 2011 and 6.375% Notes due 2012.  In the exchange offer, Gannett issued approximately $67 million aggregate principal amount of Senior Notes due 2015 and $193 million aggregate principal amount of Senior Notes due 2016 in exchange for existing notes.  The exchange offer was intended to extend the average maturity of Gannett's debt, and resulted in more than 25% of Gannett's outstanding bonds having maturities of 2015 or 2016.

 

Gannett is an international news and information company.  It publishes 85 daily U.S. newspapers, including USA TODAY, and more than 850 magazines and other publications.  Gannett also operates 23 television stations and several web sites, such as CareerBuilder.com and MomsLikeMe.com.  Gannett's  subsidiary Newsquest is the United Kingdom's second largest regional newspaper company.
