The Firm recently represented the underwriters, led by UBS Investment Bank and JPMorgan Securities, in connection with the public offerings by Massey Energy Company of $690 million of 3.25% Convertible Senior Notes due 2015 (including the full exercise of the over-allotment option) and 4,370,000 shares of common stock (including the full exercise of the over-allotment option). Massey Energy raised over $1.0 billion through the two financings.
The Firm also represented UBS Investment Bank as dealer manager and solicitation agent in connection with Massey Energy’s tender offer and related consent solicitation for its $335 million of 6.625% Senior Notes due 2010. A portion of the proceeds from the offerings were used to fund the purchase of 6.625% Notes tendered in the tender offer and consent solicitation.
Massey Energy Company, headquartered in Richmond, Virginia, with operations in West Virginia, Kentucky and Virginia, is the fourth largest coal producer by revenue in the United States.
